Terms of Service
These Terms govern access to Versionly. Versionly is a software product of WoWSQL Technologies Private Limited, not a separate legal entity. Please read them before creating a workspace or installing the GitHub App.

1. The agreement
These Terms of Service (“Terms”) form a binding contract between you and WoWSQL Technologies Private Limited (“WoWSQL”, “we”, “us”), CIN U62013TN2025PTC186985, registered office at 7/54 East Street, Kulaiayanakarisal, Thoothukudi, Tamil Nadu 628103, India.
Versionly is a product of WoWSQL. By creating an account, installing the GitHub App, using the dashboard or APIs, or clicking to accept these Terms, you agree to them. If you use Versionly for an organisation, you represent that you have authority to bind that organisation, and “you” includes that organisation.
If you do not agree, do not use the Service. Our Privacy Policy explains how we handle personal data and is incorporated by reference.
2. Definitions
- Service means Versionly websites, applications, GitHub App, APIs, SDKs, documentation, and related support.
- Customer Content means repositories, files, specifications, configuration, and other material you or your members submit or that we retrieve from GitHub with your authorisation.
- Suggestions means scan results, impact reports, and proposed patches or pull requests generated by the Service.
- Plan means the commercial package you select (including any free or trial tier), as described at signup or on an order form.
3. What Versionly does — and does not do
Versionly helps you watch third-party APIs used by selected GitHub repositories, surface likely breaking changes, identify affected code, and open a pull request with a suggested update. You review and merge. Production remains your responsibility.
The Service does not:
- merge code, deploy, or change production systems without a human action in GitHub;
- guarantee that every vendor change is detected, or that every Suggestion is complete or correct;
- replace your own testing, security review, or legal review of third-party APIs;
- import or watch GitHub repositories you have not connected as Versionly projects.
Vendor APIs, GitHub, and other third-party platforms are outside our control. Their outages, licence changes, or rate limits may affect the Service.
4. Eligibility and accounts
You must be at least 18 years old and capable of entering a contract under the Indian Contract Act, 1872. The Service is intended for business and professional use.
You must provide accurate registration details and keep them current. Email verification may be required before sign-in. You are responsible for all activity under your workspace, including members you invite. Notify us promptly of unauthorised access at hello@wowsql.com.
One natural person should not create multiple accounts to evade plan limits, bans, or verification. We may refuse, suspend, or reclaim usernames and workspaces that infringe others or are used in bad faith.
5. Licence to use the Service
Subject to these Terms and timely payment of fees, WoWSQL grants you a limited, non-exclusive, non-transferable, revocable licence to access Versionly for your internal business purposes during the subscription term.
You shall not:
- copy, modify, or create derivative works of the Service except as we expressly allow;
- reverse engineer, decompile, or attempt to extract source code, except to the extent Indian law forbids this restriction;
- resell, sublicense, or provide the Service to third parties as a bureau, unless an written partner agreement says otherwise;
- circumvent usage caps, authentication, or billing;
- probe, scan, or load-test the Service in a way that degrades it for others, except with our prior written consent;
- use the Service to build a competing product by systematically extracting our catalogues, prompts, or non-public workflows.
SDKs and sample code are licensed only as stated in their accompanying licence file (for example, on npm). Those files control over these Terms if they conflict on licence scope.
6. GitHub App and Customer Content
You grant WoWSQL a worldwide, non-exclusive licence to host, copy, process, and display Customer Content solely to provide the Service — including scanning connected repositories and opening pull requests you have enabled.
You represent that you have all rights and GitHub organisation permissions needed to grant that licence, and that connecting a repository does not breach a third-party contract, export rule, or confidentiality duty.
Customer Content remains yours (or your licensors’). We do not claim ownership of your source code. Suggestions that we generate are licensed to you to use in connection with the relevant repository, without requiring you to assign copyright to us. You remain responsible for reviewing Suggestions before merge.
We may remove or refuse Customer Content that we reasonably believe is unlawful, infringing, or a threat to the Service, and we may preserve copies where law requires.
7. Acceptable use
You shall not use the Service to:
- violate the Information Technology Act, 2000, or any other applicable law;
- upload malware, or interfere with others’ systems;
- scan or store data you are not authorised to access;
- send spam or deceptive messages using our mail or contact channels;
- process unlawful content, including child sexual abuse material — we will report such material to authorities and terminate related accounts;
- harass, defame, or infringe intellectual property or privacy rights.
We may suspend access immediately if we reasonably believe these rules are broken, or if continued use would create legal or security risk.
8. Suggestions, accuracy, and your review duty
Suggestions are generated by automated analysis. They may be incomplete, outdated relative to a vendor’s latest unpublished change, or unsuitable for your architecture. You agree that:
- you will have a qualified person review every pull request before merge;
- you will run your own tests and security checks;
- WoWSQL is not liable for production incidents caused by merging, ignoring, or customising a Suggestion, except as these Terms expressly allow in the liability clause.
Nothing in the Service is legal, tax, or professional engineering certification.
9. Third-party services
GitHub, payment processors, cloud hosts, and the vendor APIs you track are independent. Your use of them is governed by their terms. We are not a party to those contracts and do not warrant their performance.
If GitHub revokes the App, changes APIs, or rate-limits us, features that depend on GitHub may pause until access is restored. Fees already paid for a period are not refunded solely because a third party changed its platform, except where Indian consumer law (if applicable) or an order form says otherwise.
10. Plans, fees, and taxes
Paid Plans are billed in advance according to the checkout or invoice. Unless an order form states otherwise, subscriptions renew automatically until cancelled through the billing portal or by written notice before the renewal date.
Prices are exclusive of GST and other taxes. Where GST applies, it will be charged at the prevailing rate. Our GSTIN is 33AAECW3118J1ZF. You shall provide a valid GST identification number if you require a tax invoice in a particular form.
Unpaid amounts may result in suspension. We may charge reasonable recovery costs. Except where required by law or expressly stated at checkout, fees are non-refundable, including for unused scan volume or seats.
Plan limits (projects, seats, scan frequency) are contractual. Exceeding them may pause features until you upgrade or reduce usage.
11. Intellectual property
WoWSQL and its licensors own the Service, documentation, catalogues, trademarks (including Versionly and WoWSQL names and logos), and all related intellectual property. Except for the limited licence in these Terms, no rights are granted.
Feedback you send (ideas, bug reports) may be used by WoWSQL without restriction or royalty, provided we do not publicly attribute it to you without permission.
If you believe content on the Service infringes copyright, write to legal@wowsql.com with a description of the work, the URL, and a statement of good-faith belief. We will consider notices in line with applicable law.
12. Confidentiality
Each party may receive non-public information from the other. The recipient shall use it only to perform these Terms, protect it with reasonable care, and not disclose it except to personnel and subprocessors who need it and are bound to confidentiality, or as required by law (with prior notice where legally permitted).
Customer Content is your confidential information. Versionly product design, non-public pricing, and security documentation are ours. Obligations survive for three years after termination, and indefinitely for trade secrets as long as they remain secret.
13. Privacy and data protection
Each party shall comply with the DPDP Act, 2023, and other applicable privacy law. You shall not instruct us to process personal data in a way that would make the Service unlawful, and you shall provide notices and obtain consents from your personnel as required for workspace use.
Details of our processing as a Data Fiduciary are in the Privacy Policy. If you require a data processing addendum for processor activities, request it from legal@wowsql.com.
14. Warranties and disclaimers
We will provide the Service with reasonable skill and care. Paid Plans will materially conform to the then-current documentation during the subscription term, provided you use the Service as instructed.
Except for that limited warranty, and to the maximum extent permitted by Indian law, the Service and Suggestions are provided “as is” and “as available”. We disclaim implied warranties of merchantability, fitness for a particular purpose, quiet enjoyment, and non-infringement.
We do not warrant uninterrupted or error-free operation, or that detections will catch every breaking change. Scheduled maintenance and force-majeure events (including failures of GitHub, DNS, or electricity) are not breaches.
Nothing in these Terms excludes liability for fraud, or for death or personal injury caused by negligence, where such exclusion is prohibited by law.
15. Limitation of liability
Subject to the non-excludable liabilities above, WoWSQL’s total aggregate liability arising out of or related to the Service or these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the fees you paid to WoWSQL for Versionly in the twelve (12) months immediately before the claim (or, if none, INR 10,000).
We shall not be liable for: lost profits, revenue, goodwill, or data; cost of substitute software; indirect, incidental, special, or consequential loss; or production outages following a merge you approved, even if we were advised of the possibility, except to the extent Indian law forbids this limitation.
You agree this allocation of risk is reflected in our pricing. Claims must be notified in writing within twelve months of the date you became aware, or ought reasonably to have become aware, of the facts giving rise to the claim.
16. Indemnity
You shall indemnify and hold harmless WoWSQL, its directors, and employees from claims, damages, and reasonable legal costs arising from: (a) Customer Content; (b) your misuse of the Service or breach of these Terms; (c) your violation of GitHub or vendor terms; or (d) personal data you submit without lawful basis.
We shall indemnify you against third-party claims that the unmodified Service (not Suggestions derived from your code) infringes that party’s Indian intellectual property, provided you notify us promptly, let us control the defence, and cooperate. We may modify the Service, obtain a licence, or terminate the affected feature and refund prepaid unused fees for that feature. This is your exclusive remedy for such infringement claims.
17. Term, suspension, and termination
These Terms start when you first use the Service and continue until terminated. Either party may terminate for convenience at the end of a paid term by cancelling renewal. You may stop using a free Plan at any time.
We may suspend or terminate immediately for non-payment, material breach, legal risk, or long inactivity on a free Plan. You may terminate if we materially breach and fail to cure within thirty (30) days after written notice.
On termination: your licence ends; you should export what you need before access closes; we will delete or anonymise Customer Content in line with the Privacy Policy, except records we must keep. Clauses that by nature should survive (including IP, confidentiality, liability, indemnity, and governing law) survive.
18. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to the next paragraph, courts at the courts at Thoothukudi, Tamil Nadu, India have exclusive jurisdiction.
Before filing a claim, the parties shall try in good faith to resolve the dispute through the Grievance Officer at grievance@wowsql.com within thirty (30) days. If unresolved, either party may refer the dispute to arbitration in accordance with the Arbitration and Conciliation Act, 1996. There shall be one arbitrator mutually appointed (or appointed under the Act if the parties cannot agree). The seat and venue of arbitration shall be Thoothukudi, Tamil Nadu, India. Proceedings shall be in English. Nothing prevents either party from seeking interim injunctive relief from a court of competent jurisdiction to protect intellectual property or confidential information.
If a consumer-protection statute applies to you as a “consumer” and forbids this dispute clause, that statute prevails to the extent of the inconsistency.

Legal notices to WoWSQL must be sent to legal@wowsql.com and by courier to the registered office. Notices to you may be sent to the email on your workspace owner account or posted in the dashboard.
20. General
- Entire agreement. These Terms, the Privacy Policy, and any order form are the entire agreement and supersede prior discussions relating to Versionly.
- Amendments. We may update these Terms by posting a new version with a revised effective date. Material changes will be notified where practicable. If you do not agree, stop using the Service before the new Terms take effect.
- Assignment. You may not assign these Terms without our consent, except to an affiliate or successor in a merger. We may assign to an affiliate or in a corporate transaction.
- Severability. If a clause is unenforceable, the rest remains in force, and the clause is modified to the minimum extent needed.
- Waiver. A failure to enforce a right is not a waiver.
- Force majeure. Neither party is liable for delay caused by events beyond reasonable control, including failures of GitHub or public internet infrastructure.
- Relationship. The parties are independent contractors. These Terms do not create a partnership, joint venture, or employment.
- Language. The English version controls. Headings are for convenience only.
